About Capsulate

# About Capsulate

Capsulate Software AS makes Source-to-Contract (S2C) software. It gives the flow of a purchase one place, from need to contract.

It is built for companies where several people and disciplines take part in choosing a supplier. Our first market is mid-sized, project-driven companies in oil and gas and EPC. The company was founded in 2021 and is based in Stavanger, Norway.

**Improve tomorrow. Defend yesterday.** Every supplier decision should make the next one better, and still hold up when someone asks about it years later.

## Why Capsulate exists

A supplier decision in a project company passes through many hands. An engineer defines the need, procurement runs the competition, legal checks the terms and management approves. Each person owns their part. Nobody owns the flow between them, so it lives in email, spreadsheets and the memory of one experienced person.

The CEO, the CFO and the supply chain lead want a clear view of how the company buys. In most mid-sized project companies, that wish has nowhere to land. Capsulate gives the flow one place.

## What Capsulate does

- **Intake:** needs arrive in one structured place, starting with scope and budget. AI guides the requester.
- **Sourcing and tenders:** RFI, RFQ, RFP and tenders, from invitation to award, inside Capsulate. Technical and commercial evaluation can run separately, inside the same purchase.
- **Suppliers:** their own login and their own questions and answers, with a shared area for clarifications that concern everyone. Or they answer as they do today.
- **Collaboration:** everyone sees their own tasks, what is happening and where the flow is held up.
- **Supplier decision record:** the criteria, evaluations, questions and answers, chat, approvals and approved file, locked at award with the process version that applied.
- **Contracts:** every final file is kept with the discussion behind it, with warnings before key dates.
- **Projects:** every purchase in a project in one view. Plan purchases up front with a budget and a planned date, see when a date has passed, and follow the status of every request and contract. AI drafts each request from the project description.
- **Your own files:** the right file at each step, in Excel, Word or any other format, uploaded back into the process.

When the process changes, completed decisions stay linked to the version that applied at the time.

## Who it is for

Capsulate is a good fit when:

- one project holds many procurement packages
- a purchase needs input from several disciplines, such as engineering, HSE, legal and management
- supplier decisions must be documented and hold up in an audit, or to a licence partner or a client
- the work today runs on email, Excel and shared folders, and depends on a few key people

We focus on Norway. That is where we can give each customer the attention a new system needs. Many of the companies we build for are international, with a head office or a subsidiary here. If you want to take Capsulate to other countries, we will do it with you, at a pace we agree on. It is a question of resources, not technology.

## Where we are today

Our first customers run real purchases in Capsulate today. Each customer is measured against a starting point we agree with them before go-live, so the results are theirs and can be checked. We will share numbers when our customers have produced them.

## Getting started

Capsulate is easy to understand. A new user sees their own tasks and the flow, and can start working. The weeks of onboarding go to something else: setting up your own processes, roles and templates. That work gives you your own way of buying, built into the system.

Onboarding runs in four steps: kick-off, data delivery, testing and go-live. It usually takes five to seven weeks from signed contract to go-live. The pace depends mostly on how quickly data and decisions are ready on your side. You do not need to clean your data first. Send us your contracts as PDF, Word or Excel, and we sort them and set them up.

## Pricing

We do not charge per user. The price is set for each customer, based on sector, company size and the services you need. That way everyone who should take part can. AI is included in the licence today.

## How it fits with your other systems

Capsulate covers the supplier choice, up to the signed contract. Your ERP stays in charge of orders, invoices and payments. Your engineering, materials and project systems keep doing what they do. Capsulate works beside them, and we deliver an API built to fit your systems.

Capsulate is not your system of record. That makes it easy to start, and easy to leave. If you stop using Capsulate, we hand over your data, with an Excel file of all requests and agreements and the documents that belong to them, and then delete it from our systems.

## Security and your data

Capsulate runs on Microsoft Azure. Customer content and backups are stored in the EU. Your data is not used to train AI, and uploaded documents, supplier bids, questions and answers and chat are never sent to the AI service.

We share a security and architecture overview with companies that evaluate us. It says plainly what is in place today and what is not.

Victor Havik

Founder & Product

Victor has worked with procurement and S2C implementations for many years. He kept seeing skilled people spend most of their time chasing input and looking for the latest version of a document, with too little time left for the decision itself. Capsulate is his answer.

## Questions we often get

### What is Capsulate?

Source-to-Contract (S2C) software that takes a purchase from the first need to a signed contract, with every step in one record. It covers intake, sourcing and tenders, contracts and projects.

### Is Capsulate built for EPC and oil and gas?

Yes. One project can hold many packages, each needing input from several disciplines and a decision that holds up long after the project is done.

### Is Capsulate only for oil and gas?

No. It is our first market, but Capsulate works for any company where several people and disciplines take part in choosing a supplier.

### Can we use Capsulate outside Norway?

Yes. Norway is our focus, but we will roll it out in more countries with you, at a pace we agree on.

### Who built Capsulate?

People from procurement, together with technologists. Victor Havik, who founded Capsulate, has worked with procurement and S2C implementations for many years.

### What is a supplier decision record?

The full story of why a supplier was chosen: the criteria, the evaluations, the questions and answers, the chat, the approvals and the approved file. In Capsulate it is built as the work happens, and locked at award together with the process version that applied.

### Can we see afterwards why a supplier was chosen?

Yes. You can go back to the situation as it was at award and see what led to the choice. Who changed what, and when, is logged.

### Can an auditor or licence partner see only one project?

Yes. Access can be limited to the project or purchase they need to see.

### Can we see why a standard contract was changed?

Yes. The questions, comments and supplier clarifications that led to the change are kept with the contract.

### Can engineers evaluate the technical offer without seeing the price?

Yes, when you want it that way. Technical experts can be given the technical part of the bids only.

### Do suppliers have to log in?

No. Suppliers can get their own login, with their own questions and answers. Those who prefer can answer the way they already do, and procurement adds it at the right step.

### We already use SharePoint and Teams. Why Capsulate?

SharePoint and Teams are good for files and conversation. Capsulate adds the procurement process: steps and owners from scope and budget to award, separate technical and commercial evaluation in the same purchase, supplier login, and a decision record that is locked at award. You keep working in the files you know.

### Do we have to stop using Excel and Word?

No. Capsulate gives you the right file at each step. You work in it as usual and upload it back into the process. The file is not converted, so your formulas, macros and templates keep working, and the approved version is locked with the decision. Any file format works, also if you work in Google's tools.

### Is Capsulate hard to learn?

No. Users see their own tasks and the flow from the first day. The onboarding weeks go to setting up your own processes and templates.

### How long does it take to get started?

Usually five to seven weeks from signed contract to go-live.

### Can Capsulate be used for tenders?

Yes. Capsulate runs RFI, RFQ, RFP and tenders from invitation to award. Public tenders are not supported yet, and Capsulate is not connected to Doffin or TED.

### Do we have to clean our data before we start?

No. Send your contracts as PDF, Word or Excel, and we sort them and set them up.

### Does Capsulate replace our ERP?

No. Your ERP stays in charge of orders, invoices and payments, and your engineering and materials systems keep their role. Capsulate covers the steps up to the signed contract.

### Does Capsulate have an API?

Yes. We build it to fit your systems.

### Can procurement consultants use Capsulate?

Yes. A consultancy can run client work in Capsulate. The client keeps its records and decision history.

### How is Capsulate different from the large procurement suites?

The large suites cover everything from sourcing to payment and often take a long time to put in place. Capsulate focuses on the flow from need to contract in project-driven companies, and keeps every decision linked to the process that governed it.

### How does Capsulate use AI?

AI helps at intake. It guides the requester, drafts a request from the project description, and classifies the purchase. People make the decisions and approve changes to the process, and what AI suggests is kept apart from what people assess. Over time, AI will take on more of the preparation work.

### Is AI included in the price?

Yes. AI is included in the licence today.

### Is our data used to train AI?

No. Uploaded documents, supplier bids, questions and answers and chat are never sent to the AI service.

### Where is our data stored?

In the EU, on Microsoft Azure. Customer content and backups stay in the EU.

### Can we see your security documentation?

Yes. We share a security and architecture overview with companies that evaluate us. It says plainly what is in place today and what is not.

### What if we want to stop using Capsulate?

We hand over your data: an Excel file with one row per request or agreement, and all the documents. Then we delete it from our systems, as a documented procedure.

### How is Capsulate priced?

Per customer, based on sector, size and services. There are no per-user fees, and AI is included in the licence today.
